PUBLIC AGREEMENT (OFFER) ON PROVISION OF SERVICES

This document "Public contract (offer) for the provision of services" is an offer of the International Marriage Agency ELITE, the founder of Elite Prague LLC (hereinafter referred to as the Agency) to individuals (hereinafter referred to as the Clients) to conclude an agreement on the conditions set out below.

Before using the Agency's services, please read the terms of this Agreement.

General provisions
The subject of this Agreement is the provision by the Agency, at the request of the Client, of a set of services for the search and / or selection of a partner for creating a family.
This Agreement is based on the norms of international law and the Civil Code of the Russian Federation, is a legally binding document and regulates the legal relationship between the Agency and the Client in the process of providing services to the latter.
By using the Agency's services, you agree that:
a) You have read the terms of this Agreement in full before receiving services from the Agency.

b) this Agreement, in accordance with Article 435 of the Civil Code of the Russian Federation, is an offer, and your application for the provision of services sent to the Agency in any way and in any form means that you accept all the terms of this Agreement in full without any exceptions and restrictions from your side (acceptance). This Agreement, concluded by accepting this offer, does not require bilateral signing and is valid in electronic form.

c) if you do not agree with the terms of this Agreement or do not have the right to conclude it by virtue of law, you should not start or immediately stop any use of the Agency's services.

d) The Agreement (including any of its parts) may be changed by the Agency without any special notice. The new version of the Agreement comes into force from the moment it is posted on the Website www.eliteprague.ru www.eliteprague.cz, unless otherwise provided by the new version of the Agreement.

1.4. Relations between the Parties may be additionally regulated by separate documents and agreements, including those regulating the use of additional or personal services. The application of such additional documents and agreements does not invalidate this Agreement.

Terms of Service
A client of the Agency may be a citizen of the Russian Federation or a foreign citizen who has reached the age of 21.
The client must not be in a registered marriage.
Prior to the provision of services, the Client undertakes to provide the Agency with reliable information about himself, namely:
a) high-quality photos 6-8 pieces

b) a completed application for services, for the purposes of international dating - the Questionnaire posted on the website www.eliteprague.ru

c) photo (scan) of the passport in a spread

d) pass a personal interview (get an online consultation) with the owner of the agency and get a preliminary approval of the questionnaire

e) at the request of the agency, provide its video image for the purposes of executing this agreement and in accordance with the degree of confidentiality

f) in order to achieve an effective result in the search and selection of a partner, the Client undertakes to follow the recommendations and instructions provided by the Agency.

• The Agency does not in-depth check the accuracy of personal data (place of work, credit history, place of actual residence) provided by the Client, however, in case of unreliability of information, it reserves the right to unilaterally terminate the provision of services to the Client, without refund of payment for services.
• The Client has the right to refuse the services of the Agency at any time, but no later than 14 calendar days from the date of acceptance of the terms of this agreement, while the Agency guarantees the return of the amount of paid services to the Client, minus the actual expenses of the Agency incurred in connection with the provision of services to the Client:
• — 5000 rubles (an hour consultation on dating matters)
• — 10,000 rubles (presentation design of the full Russian client questionnaire and the English version)
• The Agency guarantees the Client the selection of suitable candidates during the period of service provision, in accordance with the selected tariff.
• Terms of payment
• The Agency provides services solely on the basis of the Client's prepayment at the conclusion of the contract.
• The fee for the Agency's services depends on the tariff plan chosen by the Client. You can get acquainted with the tariffs for the Agency's services on the website eliteprague.ru in the "Services and Costs" section, or by contacting the Agency by phone, e-mail and other available means.
• The cost of the Agency's services does not include expenses for male Clients or potential clients of the Agency related to flight (relocation), accommodation, meals and other expenses of the Client related to organizing a meeting with a potential bride.
• The Parties may agree on the provision of services to the Client at an individual rate with the inclusion of additional and (or) personal services (for example: calling an Agency consultant to the Client, arranging a meeting in a certain place), stage-by-stage payment for services, etc., including concluding an individual contract for services.
• Since the Agency, in accordance with the legislation of the Russian Federation, uses a simplified taxation system, the cost of services does not include VAT.
• Payment for services can be made by the Client in cash or non-cash form in rubles or other currency at the exchange rate of the Central Bank of the Russian Federation. In case of cash, payment is considered made from the moment of receipt of funds at the cash desk of the Agency.
• For Clients residing in Russia, payment is accepted from the website www.eliteprague.ru, in cash or by bank transfer or using company details.
• For Clients, citizens of other countries, bank details for payment are provided individually, depending on the country of residence.
• If payment for services is not received in full, the Agency has the right to refuse to process the order and (or) temporarily suspend further provision of services until full payment is received.
• The procedure for concluding a contract and providing services
• The provision of the Agency's services will begin from the moment the Client provides information in accordance with clause 2.3 and the conclusion of the contract and receipt of payment.
• The Agreement is concluded by accepting the Offer by the Client.
• The offer can be accepted by the Client by transferring funds by the Client in favor of the Agency using the details specified in this agreement or by any other means indicated on the website www.eliteprague.ru

The performance by the Client of the actions provided for in clause 2.3.2 of the Offer is considered acceptance of the Offer.
The date of acceptance of the Offer and, accordingly, the date of conclusion of the Agreement is the date of receipt of funds from the Client to the current account or to the cash desk of the Agency.
After the conclusion of the contract and consideration of the Client's Questionnaire, an employee of the Agency conducts an interview with the Client, at which certain wishes and preferences of the Client are clarified, as well as his personal qualities and characteristics are studied, the Agency provides written and oral recommendations to improve the effectiveness of acquaintances with a potential partner.
The Agency does not provide personal search services for men for women; The actual services of international dating for women are carried out according to the "Placement" standard in the database of the Agency and partner agencies in accordance with the selected tariff and the subsequent provision of profiles and contacts interested in meeting men.
The Agency reserves the right, at its sole discretion, to recommend candidates to the Client, despite the fact that a possible partner may not correspond to the Client's preferences or correspond to them only to a certain extent, since this approach has been successful for many of the Agency's clients.
Since the main task of the Agency is to search for partners to create personal relationships, the transfer of contacts of a potential partner to the Client is carried out by the Agency only on condition of mutual sympathy of the parties and (or) consent of the partner to transfer his personal data to the Client.
After providing the Client with the contact details of a potential partner, in order to comply with the rules of good manners, the Agency does not offer further recommendations until the Client himself informs about the desire to receive a new recommendation.
5.Privacy

The Client undertakes not to transfer any data of other Clients to any third parties.
The Agency guarantees the Client that his data will not be transferred without his consent or notification to other Clients or other third parties, and also guarantees compliance with other requirements of the Federal Law of July 27, 2006 No. 152-ФЗ “On Personal Data”. Force Majeure
6.1. The Parties shall not be liable for full or partial failure to fulfill obligations under this Agreement if such failure is due to force majeure circumstances (force majeure). Such circumstances include: natural disasters (fires, floods, earthquakes, etc.), military actions or decisions of the authorities, illegal actions of third parties, and other circumstances beyond the control of the parties.

6.2. The Party referring to force majeure circumstances is obliged to notify the other Party within 3 calendar days of the occurrence of such circumstances, and also, at the request of the other Party, provide copies of documents confirming the occurrence of force majeure circumstances.

End of service provision
7.1 The Agency has the right to unilaterally terminate the provision of services to the Client under the following circumstances:

The Client has violated the confidentiality clause of this Agreement;
The Client does not keep in touch with the Agency for more than 1 month;
The Client provided false personal data and (or) other information necessary for the provision of services;
The client has not paid or not fully paid for the services.
The client expresses changes in his preferences and shows excessive requirements for potential candidates that do not correspond to the initial request in the questionnaire.
Identification of a clear material interest in the client and obtaining benefits by meeting with the clients of the marriage agency (and partner agencies)
The client interferes with the work of the agency, shows signs of inappropriate behavior, slander and attempts to receive the money paid under the contract after the services actually rendered (provision of one or more candidates for acquaintance)
Final provisions
8.1. All disagreements arising between the Parties shall be settled through negotiations. The pre-trial procedure for resolving a dispute arising from relations regulated by this Agreement is considered mandatory. The term for pre-trial settlement of claims is 30 (thirty) days from the date of receipt of the relevant claim. If no agreement is reached on the settlement of the dispute, such a dispute is subject to consideration and resolution in the court at the location of the Agency.

8.2. Recognition by the court of any provision of the Agreement as invalid and unenforceable does not entail the invalidity of other provisions of the Agreement.
